Terms of Service

1. Acceptance of Terms

Welcome to NextStrike. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Carpe Astra Systems LLC ("Company," "we," "us," or "our"), a Texas limited liability company based in Austin, TX. By downloading, installing, accessing, or using the NextStrike application ("App" or "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

Your continued use of the Service following any updates or modifications to these Terms constitutes your acceptance of those changes.

2. Description of Service

NextStrike is a baseball pitch-calling application designed for coaches, players, and teams. The Service provides the following core functionality:

  • Real-time pitch call delivery via text-to-speech audio transmitted to a catcher's Bluetooth earpiece
  • Pitcher repertoire management, including pitch types, tendencies, and scouting profiles
  • Pitch history tracking and outcome recording for in-game and post-game analysis
  • Game session tracking, including inning management, per-game pitch counts, and session history (available on paid tiers)
  • Bluetooth earpiece keepalive, which maintains the connection to your catcher's earpiece between pitch calls using background audio
  • Multi-coach collaboration, allowing multiple coaches to coordinate on pitch strategy for a shared team
  • Full offline support, enabling pitch-calling and data access without an active internet connection

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, and without liability to you.

3. Account Registration

To access certain features of the Service, you must create an account. Account authentication is provided through Clerk, a third-party authentication service. By registering, you agree to the following:

  • You must provide accurate, current, and complete information during registration and keep your account information up to date.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You must be at least 13 years of age to create an account and use the Service. If you are under 18, you represent that you have obtained parental or guardian consent to use the Service.
  • You must promptly notify us of any unauthorized access to or use of your account.

4. Subscription and Payments

NextStrike is offered as a paid subscription. Subscription management and payment processing are handled through RevenueCat in conjunction with the Apple App Store and Google Play Store.

4.1 Pro Subscriptions

Pro subscriptions unlock multiple teams, larger rosters, full pitch history, coaching licenses, offline support, and the hold-to-speak voice message feature. Pro is available as a monthly or annual plan and includes a 14-day free trial for new subscribers. Pricing details are displayed within the App at the time of purchase.

4.2 Team-Based Pricing

Subscriptions are tied to team ownership. The team owner is responsible for the subscription and all associated charges. Assistant coaches invited to a team may access team features at no additional cost under the owner's active subscription.

4.3 Organization Plans

Organization plans are available for leagues, clubs, and multi-team programs. Organization plans are quoted and invoiced separately from in-app subscriptions and are not processed through the Apple App Store or Google Play Store.

Organization plans include up to 200 teams per account. Deployments exceeding 200 teams require a custom enterprise agreement. Please contact us at support@nextstrike.app for enterprise pricing.

Organization plan pricing is based on per-team volume brackets and is subject to the terms agreed upon at the time of purchase. Carpe Astra Systems LLC reserves the right to adjust pricing for new contracts with reasonable notice.

4.4 Auto-Renewal

All subscriptions automatically renew at the end of each billing period unless canceled at least 24 hours before the renewal date. If your subscription includes a free trial, it converts to a paid subscription at the end of the trial period unless canceled at least 24 hours before the trial ends. You may manage or cancel your subscription through your Apple App Store or Google Play Store account settings.

4.5 Refund Policy

All purchases are processed through the Apple App Store or Google Play Store. Refund requests are subject to the respective store's refund policies. Carpe Astra Systems LLC does not process refunds directly. To request a refund, please contact Apple or Google through their standard support channels.

5. User Content

The Service allows you to create, upload, store, and manage various forms of content, including but not limited to team profiles, player rosters, pitch data, voice clips, coach notes, and the feature requests and comments you post in community features (collectively, "User Content").

  • Ownership. You retain all ownership rights in your User Content. Nothing in these Terms transfers ownership of your User Content to us.
  • License Grant. By submitting User Content to the Service, you grant Carpe Astra Systems LLC a non-exclusive, worldwide, royalty-free license to use, store, process, and display your User Content solely as necessary to operate, maintain, and provide the Service to you.
  • Voice Clips. Voice clips used for text-to-speech customization are stored locally on your device and are not uploaded to our servers. You are responsible for managing and backing up any locally stored data.

6. Multi-Coach Collaboration

NextStrike supports multi-coach collaboration within teams. The following terms apply:

  • Team owners may invite assistant coaches to join their team by sending email invitations through the App.
  • Invited coaches will receive access to relevant team data, including rosters, pitch history, and game information, as determined by the team owner's subscription tier.
  • Invitations expire 7 days after they are sent. Expired invitations must be re-issued by the team owner.
  • The team owner maintains full control over team access and may revoke a coach's access at any time.
  • Coaches are responsible for their own use of shared team data and must comply with these Terms at all times.

7. Acceptable Use

You agree to use the Service only for its intended purpose and in compliance with all applicable laws and regulations. You must not:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App or any part thereof
  • Interfere with or disrupt the integrity, performance, or availability of the Service, its servers, or connected networks
  • Attempt to gain unauthorized access to any portion of the Service, other user accounts, or any systems or networks connected to the Service
  • Resell, sublicense, lease, or otherwise commercially distribute the Service or any part of it to third parties without our prior written consent
  • Use the Service to transmit any content that is unlawful, harmful, threatening, abusive, or otherwise objectionable
  • Use automated scripts, bots, or other tools to access or interact with the Service without our express permission

8. Objectionable Content & Moderation

NextStrike includes community features — such as feature requests and comments — where your User Content is visible to other users. We have zero tolerance for objectionable content or abusive users. You agree not to post, submit, or transmit any content that is unlawful, harassing, threatening, hateful, defamatory, obscene, or otherwise objectionable, and not to harass, abuse, impersonate, or harm other users.

To keep these community features safe, the Service gives every user tools to:

  • Report content. Flag any feature request or comment you believe is objectionable. Sufficiently reported content is automatically hidden pending review.
  • Block users. Block any user so you no longer see their content or interactions.

We review reports of objectionable content and abusive behavior and act on them — including removing the content and suspending or removing the responsible user — within 24 hours of becoming aware of a violation. To report content or a user, use the in-app reporting tools or email us at support@nextstrike.app.

9. Intellectual Property

The Service, including all software, designs, text, graphics, logos, icons, audio, and other content provided by Carpe Astra Systems LLC (excluding User Content), is the exclusive property of Carpe Astra Systems LLC and is protected by copyright, trademark, and other intellectual property laws.

"NextStrike," the NextStrike logo, and "Carpe Astra Systems" are trademarks of Carpe Astra Systems LLC. You may not use any of our trademarks without our prior written permission.

These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial use in accordance with these Terms. This license does not convey any ownership interest in the App or Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CARPE ASTRA SYSTEMS LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee the accuracy, reliability, or completeness of any pitch recommendations, data analysis, or other information provided through the Service. You acknowledge that the use of the Service for pitch-calling decisions is at your own discretion and risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CARPE ASTRA SYSTEMS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR FIFTY DOLLARS ($50.00), WHICHEVER IS GREATER.

12. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, if we reasonably believe that you have violated these Terms or that your conduct may harm other users, third parties, or the integrity of the Service.

You may delete your account at any time through the account settings within the App. Upon account deletion, your User Content may be permanently removed from our servers, except where retention is required by law or for legitimate business purposes (such as resolving disputes or enforcing our Terms).

Sections that by their nature should survive termination will remain in effect, including but not limited to Intellectual Property, Disclaimer of Warranties, Limitation of Liability, and Governing Law.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas. You consent to personal jurisdiction in such courts and waive any objection based on inconvenient forum.

14. Changes to Terms

We may update these Terms from time to time at our sole discretion. When we make material changes, we will notify you by updating the "Effective Date" at the top of this page and, where appropriate, by providing notice through the App or via email. Your continued use of the Service after any changes become effective constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
